TERMS OF USE AND CONDITIONS OF PURCHASE
Welcome to Good Ranchers ("we," "us," or "our"). These Terms and conditions of purchase (these "Terms") govern your purchase of certain meat or other products (collectively, the “Products”) made available for purchase through our Website. We offer various subscription plans for the recurring delivery of our Products (each purchase of any such plan, a “Subscription”, and together with our Products, the “Services”). By placing an order for Our Services (each such purchase being an “Order”), you acknowledge that you have read, understood, and agree to these Terms. If you do not agree, do not proceed with your purchase.
1. Privacy Policy.
To place an Order with Us, you will be required to provide certain information and/or register for a Good Ranchers account. Please refer to Our Privacy Policy and Terms of Use, available at https://www.goodranchers.com/privacy-policy for information about how we collect, store, use, and disclose information you provide to us.
2. Eligibility.
Our Services are not targeted toward or intended to be used by anyone under the age of 18. By placing an order with Us, you represent and warrant that; (i) you are 18 years of age or older, (ii) you are a legal resident of the United States, (iii) you have not been previously suspended or removed from being eligible to use the Services, or engaged in any activity that could result in suspension or removal from the Services, and (iv) you have full power and authority to enter into these Terms and in so doing will not violate any other agreement to which you are a party.
3. CONDITIONS OF PURCHASE.
We offer a variety of meat products, which are described on our website. Our Products are available for one-time or recurring Subscription purchases (Subject to the Automatic Renewal of Subscription Terms and the Cancellation Policy set forth below). All descriptions, images, details, Product offerings, and available Subscriptions are provided for informational purposes and may be subject to change at any time prior to purchase. All Orders are subject to Our acceptance. We may refuse any Order for any reason, including but not limited to, Product availability, errors in pricing or descriptions, or suspected fraud. All of our Products are subject to availability, and We reserve the right to; (i) impose quantity limits on any Order, (ii) reject all or part of an Order, (iii) discontinue offering certain Products, (iv) substitute any Products (including, but not limited to, specific ingredients, Products or entire Orders), all without prior notice. We strive to provide high-quality Products and considering the perishable nature of certain Products and market conditions beyond our control, we may be required to make substitutions from time to time. If you are unsatisfied with a substitution, please contact us by email at [email protected] or by phone at (346) 474-4663. You may have the ability to purchase; (i) non-subscription boxes of Our Products, (ii) gift cards, or (iii) recurring monthly Subscriptions for other people from Us (collectively, “Gifts”). Gifts are non refundable or non redeemable for cash. Gifts must be redeemed for purchases through Our Website in accordance with our then-current terms and conditions for redemption, which may require the recipient to create their own Good Ranchers account and agree to these Terms in order to redeem the Gift. GIFTS OF MONTHLY SUBSCRIPTIONS ARE SUBJECT TO THE AUTOMATIC RENEWAL OF SUBSCRIPTION POLICY AND THE CANCELLATION POLICY SET FORTH BELOW. AUTOMATIC RENEWAL OF SUBSCRIPTION POLICY. WHEN YOU PURCHASE A SUBSCRIPTION, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT; (I) GOOD RANCHERS (OR OUR THIRD-PARTY PAYMENT PROCESSOR(S)) IS AUTHORIZED TO CHARGE YOU AT YOUR SELECTED BILLING INTERVAL FOR THE PRICE OF YOUR SELECTED SUBSCRIPTION (IN ADDITION TO ANY APPLICABLE TAXES AND OTHER CHARGES SET FORTH DURING THE PURCHASE PROCESS) FOR AS LONG AS YOUR SUBSCRIPTION CONTINUES, AND (II) YOUR SUBSCRIPTION IS CONTINUOUS UNTIL YOU CANCEL IT OR WE SUSPEND OR TERMINATE THE SUBSCRIPTION. THE MONTHLY RECURRING CHARGES FOR YOUR SUBSCRIPTION WILL BE SET FORTH DURING THE PURCHASE PROCESS ("PAYMENT"). THE AMOUNT YOU ARE CHARGED MAY VARY DEPENDING ON THE PREFERENCES YOU SELECT, AND WE MAY ADJUST SUCH RECURRING CHARGES FROM TIME TO TIME IN ACCORDANCE WITH THESE TERMS. CANCELLATION POLICY. YOU MAY CANCEL AN ORDER OR SUBSCRIPTION AT ANY TIME PRIOR TO THE NEXT BILLING DATE ("BILL DATE") BY ACCESSING YOUR ACCOUNT OR BY CONTACTING US AT [email protected] OR (346) 474-4663. IF ORDER IS CANCELED PRIOR TO BEING PROCESSED FOR SHIPMENT IT WILL BE PROCESSED IMMEDIATELY. IF THE CANCELLATION REQUEST IS MADE AFTER YOUR ORDER BILL DATE THE CANCELLATION REQUEST WILL BE PROCESSED FOR THE NEXT SCHEDULED BILL DATE. YOU ARE RESPONSIBLE FOR ALL CHARGES (INCLUDING ANY APPLICABLE TAXES AND OTHER CHARGES) INCURRED WITH RESPECT TO ANY ORDER PROCESSED PRIOR TO THE CANCELLATION OF YOUR SUBSCRIPTION. YOU ARE NOT PERMITTED TO RESELL OR OTHERWISE USE THE PRODUCTS FOR ANY COMMERCIAL PURPOSES.
4. PAYMENT AND BILLING.
By providing a credit card or other payment method that We accept, you represent and warrant that you are authorized to use the designated payment method and that you authorize us (or our third-party payment processor(s)) to charge your payment method for all charges you incur for the Order of any Subscriptions or other Products (including any applicable taxes and other charges). You are responsible for, and agree to pay, all such charges. If We or Our third party payment processor(s) cannot obtain authorization for charges to your payment method or if any amounts you authorize us to charge to your payment method are reversed or charged back for any reason, We may, in our sole discretion, in addition to any other remedies; (i) cancel or suspend any undelivered portion of your Order(s), (ii) make second and/or subsequent attempts to charge your payment method, and/or (iii) use any other lawful means to collect payment on any outstanding amounts due to Us. You will remain responsible to pay all applicable charges for all Orders and Gifts. You agree to provide us with and keep current a valid payment method. However, your failure to do so shall not constitute cancellation of any Order. In the event you need to change or update the payment information associated with your Good Ranchers account, you can do so at any time by logging into your account and editing your payment information, or by calling Us at (346) 474-4663.
5. PRICING AND AVAILABILITY.
All prices shown for our Products are in U.S. dollars. Any applicable taxes and other charges, if any, are additional. We reserve the right to change our Subscription and other Product offerings, and to adjust prices as we may determine in our sole discretion, at any time and without notice; provided, however, that if we change the amounts or other charges associated with your then-current Subscription(s), we will provide advance notice of such changes to you via the contact information associated with your Good Ranchers Account. We will not, however, be able to notify you of changes in any applicable taxes prior to such changes becoming effective. The shipment of Products to you after our delivery of such notice will confirm your acceptance of such changes, unless you cancel your Subscription(s) in accordance with the cancellation policy set forth in Section 3 above. We will collect applicable sales tax on Products shipped to states where we are obligated to do so. If a Product is subject to sales tax, you acknowledge that the tax amount displayed at checkout may be adjusted. Such adjustments may result from such factors including, but not limited to, discrepancies between processor programs and changes in applicable tax rates.
6. SHIPPING AND HANDLING.
You agree to pay all shipping and handling charges specified at the time of purchase. We reserve the right to modify these charges at any time; however, you will be informed of the applicable charges before completing your purchase. Shipping is typically managed by a third-party courier, and actual delivery dates may differ from those indicated in your Good Ranchers account or at checkout. You agree not to obtain or direct the shipment of any product for export. All products purchased from Us are subject to a shipment contract. When placing your Order, please enter your shipping address carefully to ensure accuracy, and review your receipt or account for any errors. If you realize the shipping address is incorrect or if you have moved, please contact Us at [email protected] or call (346) 474-4663 immediately to request a correction or make the correction via your Good Ranchers account.
7. DAMAGED PRODUCTS.
Courier-Damaged Products: While We strive for every delivery to arrive on time and without issues, delays or damage may occur during transit due to circumstances beyond our control, such as inclement weather or accidents. In the event of damage caused by improper handling or delayed delivery by the courier, we are prepared to file a claim and arrange for a replacement shipment. Please contact us at [email protected] or call (346) 474- 4663 within seven (7) days of receiving your order, providing a detailed description of the damage along with photos of the product in the state it was received. Please note that claim filing is time-sensitive, and photographic evidence is required as proof of damage. Filing a claim does not guarantee a refund, as Good Ranchers will review and verify the claim at its sole discretion. Non-Courier-Related Damaged Products: In the event of damage unrelated to courier handling, please contact us at [email protected] or call (346) 474-4663 within seven (7) days of receipt, providing a description of the damage and photos of the Product in the condition it was received. We will review your order and any reported issues and offer an appropriate resolution, which may include a replacement Product, credit towards your next purchase, or a partial or full refund. As We cannot physically inspect the product, We may request additional photos of the product label and the reported damage to assess the situation accurately. Failure to comply with the terms outlined in this section will result in ineligibility for a refund.
8. DELIVERY.
You are responsible for inspecting all products you receive from us for any damage or other issues upon delivery. You are also solely responsible for determining the freshness of the products. Upon receipt, please inspect your delivery to ensure that all products arrive at a temperature below 40°F, as measured with a food thermometer. If the temperature is above 40°F or if you believe any product is not suitable for consumption, please contact us at [email protected] (attaching photos of the item(s)) or call (346) 474-4663 and discard the item(s). To maintain the quality and integrity of the products, we recommend that you immediately refrigerate all perishable items upon delivery and follow the U.S. Department of Agriculture’s (USDA) instructions on refrigeration and food safety, which are available on their website. From the time of delivery, the condition and consumption of the products are at your own risk. You are solely responsible for the proper and safe washing, handling, preparation, storage, cooking, use, and consumption of the products. We also recommend that you follow the USDA’s guidelines on safe food handling and use a food thermometer to ensure all meat, poultry, seafood, and other items are cooked to the USDA’s recommended internal temperatures. Failure to adhere to safe food handling practices and temperature recommendations may increase the risk of foodborne illness. Additionally, pregnant women, young children, the elderly, and individuals with compromised immune systems should follow the U.S. Food and Drug Administration’s (FDA) recommendations on food consumption for at-risk groups. If you are not at home when your delivery arrives, the courier will generally leave the package at your door. Our products are frozen, individually packaged, and labeled, and are shipped in boxes with built-in insulation, and, if necessary, dry ice to maintain the optimal temperature. The amount of dry ice is calculated based on your location and the guaranteed delivery time. When retrieved on the delivery date, the dry ice may have fully evaporated. Your order will typically remain cold and fresh for several hours, but advance planning for proper storage is recommended, particularly in warm weather or high-temperature regions. In some areas, you may provide additional delivery instructions, such as requesting the package be left with a doorman or neighbor. Any individual at the delivery address who accepts the delivery is presumed to be authorized to receive it. If you designate an alternative receiver, they are subject to the same terms and conditions as you would be if you accepted the delivery. In the case of inclement weather or other events beyond our control that interfere with delivery, we will attempt to deliver your order as soon as reasonably possible. If a courier delay occurs, please inspect the contents carefully and contact Us at [email protected] or call (346) 474-4663 immediately with any concerns (attaching photos for review). Delivery may occasionally occur before the scheduled date. If timely delivery is not feasible, we will cancel the delivery for the affected period and issue a credit or refund for the purchase price of that delivery. If your Order is returned to Us due to an incorrect address provided or refusal of delivery, we must dispose of the contents, and you will not be eligible for a refund. Additionally, if an order is delivered late due to an incorrect address or if you are unable to retrieve it on the delivery date without prior notification, resulting in thawing or damage, you will not be eligible for a refund.
9. RETURNS.
Due to the perishable nature of our products, we are unable to accept returns. Unlike items with a longer shelf life, perishable goods cannot be restocked or resold. If you are not completely satisfied with your Good Ranchers Products, please contact Us at [email protected] or call (346) 474-4663. If you are dissatisfied with any non-food products you have purchased, please contact Us at [email protected] or call (346) 474-GOOD (4663). We are committed to ensuring your satisfaction and addressing your concerns.
10.GENERAL PROVISIONS.
Indemnification. To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Good Ranchers, its affiliates, employees, directors, contractors, and other associated parties from any claims, damages, liabilities, losses, or expenses (including attorney fees and court costs) arising out of your use or misuse of our services, products, or content. This includes any violations of these Terms, third-party misuse of services or products provided to you, or claims related to your feedback or content shared through our services. You must promptly notify Good Ranchers of any third-party claims and cooperate fully in defending such claims. Good Ranchers reserves the right to assume control of the defense or settlement of any claims. This indemnity is supplementary to any other written agreements between you and Good Ranchers.
Disclaimers. You are solely responsible for safely handling, storing, and preparing products received from Good Ranchers, including ensuring their suitability for your consumption, particularly in relation to food allergies. We do not guarantee that cross-contamination with allergens (such as milk, wheat, nuts, etc.) will not occur. Our services, products, and all related content are provided "as is" and "as available," without any express or implied warranties, including those of merchantability, fitness for a particular purpose, or non infringement. We do not guarantee that product information, pricing, or nutritional details are complete or error-free. We reserve the right to correct any errors and modify or cancel orders as needed. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
Limitation of Liability; Release. To the fullest extent permitted by law, Good Ranchers and its affiliates will not be liable for indirect, special, incidental, consequential, punitive, or exemplary damages, including but not limited to lost profits, data loss, business interruption, or property damage, arising from your use or inability to use our services, products, or content, even if we have been advised of the possibility of such damages. Our total liability for any claim related to product orders will not exceed the amount paid for the product in question, or $250, whichever is greater. These limitations apply regardless of the legal theory under which the claim arises. Some jurisdictions do not allow certain liability limitations, so these provisions may not apply to you in full.
Dispute Resolution; Arbitration. Please read this section carefully. It requires arbitration of disputes and limits your ability to take legal action in court, including waiving class actions and jury trials. For any dispute related to these Terms, services, products, or content, both parties agree to resolve disputes through binding arbitration governed by the Federal Arbitration Act. Disputes related to intellectual property violations or small claims can be resolved in court. Both parties waive the right to a jury trial and class arbitration. You must notify Good Ranchers in writing within 30 days of a dispute arising to allow informal resolution. If the dispute remains unresolved after 30 days, either party may initiate arbitration through JAMS, conducted confidentially by a single arbitrator. Arbitration must be commenced within one year of the dispute arising, or the claim will be permanently barred. You may opt out of binding arbitration within 30 days of accepting these terms by notifying Good Ranchers in writing.
Governing Law and Venue. These Terms, and any disputes related to them or your use of our services and products, will be governed by the laws of the State of Texas, excluding its conflict of law rules. Any dispute not subject to arbitration will be resolved in the state or federal courts located in Fort Bend County, Texas.
Termination. We reserve the right to terminate your access to our services, products, or account at any time, with or without cause or notice. Upon termination, you will no longer have access to your account or any content, and no refunds will be provided for amounts already paid. You may terminate your account at any time by contacting customer service, but this will not entitle you to a refund. All obligations that by their nature should survive termination, including indemnification, limitations of liability, and dispute resolution, will remain in effect.
Severability. If any provision of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms will remain in full effect.
Survival. The provisions in these Terms that by their nature should continue after termination will survive the termination of these Terms and your Good Ranchers account.
Miscellaneous. These Terms represent the entire agreement between you and Good Ranchers regarding your use of our services and products. You may not assign or transfer any of your rights or obligations under these Terms without our written consent. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. These Terms do not create any third-party beneficiary rights, except as explicitly stated. We reserve the right to amend or modify these Terms at any time.
